1. Introduction
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you (whether individually or acting on behalf of an enterprise or commercial entity, "Client", "you") and HVK Developer's ("Company", "we", "us", or "our"), governing your access to and use of our corporate website (https://hvkaidevelopers.com/) as well as the provision of professional IT engineering, software development, web development, mobile app development, artificial intelligence (AI) solutions, and digital consulting services.
2. Acceptance of Terms
By commissioning a project, accepting a formal quotation or Statement of Work (SOW), issuing a purchase order, submitting consultation requests, or accessing our services, you expressly agree to be bound by all provisions detailed in this document. If you do not agree with any part of these Terms, you must not commission or engage our development services.

- Website Maintenance & Retainers: 24/7 proactive security monitoring, database tuning, and SLA performance optimization.
4. Project Scope and Requirements (Statement of Work)
Prior to commencement of any custom development engagement, the technical parameters, user stories, deliverables, tech stacks, milestones, and acceptance criteria shall be formally detailed in a Statement of Work (SOW) or written project proposal approved by both parties. Any feature, third-party integration, or functionality not explicitly recorded in the signed SOW shall be considered outside the agreed initial scope.
5. Quotations and Pricing
All written commercial quotations provided by HVK Developer's remain valid for a duration of thirty (30) calendar days from the date of issuance, unless otherwise indicated in writing. Pricing is calculated based on technical complexity, architectural requirements, and developer hours required. Fees are quoted in Indian Rupees (INR) for domestic clients and United States Dollars (USD) or equivalent currency for international contracts.
6. Payment Terms and Milestones
Unless otherwise defined in an individualized Statement of Work, custom development engagements follow our structured milestone schedule:
- Initial Deposit (Mobilization Fee): A standard 40% to 50% mobilization advance due upon contract signing prior to initiating discovery and wireframing.
- Sprint / Staging Review Milestone: 25% to 30% due upon completion and review of core development on our private staging server.
- Final Deployment Milestone: Remaining balance due upon formal user acceptance testing (UAT) sign-off prior to production cloud server cutover and transfer of root credentials.
Invoices are payable within seven (7) business days of issuance. Work on subsequent sprints may be paused if milestone payments remain outstanding.
7. Project Timelines and Delivery
We adhere to agile development sprints with scheduled progress demonstrations. While we endeavor to meet all estimated milestone dates, delivery schedules depend heavily on timely client feedback, approval cycles, and provision of required technical credentials. Unanticipated delays caused by third-party API dependencies or client review bottlenecks will extend the delivery schedule proportionally.
8. Client Responsibilities
The Client agrees to:
- Appoint a primary technical or business point-of-contact with authority to make binding sprint decisions.
- Furnish all necessary brand assets, copywriting, high-resolution imagery, and product data in agreed formats.
- Provide necessary third-party API keys, sandbox credentials, and hosting server access in a timely manner.
- Perform User Acceptance Testing (UAT) and communicate review feedback within seven (7) business days of milestone releases.
9. Revisions and Modifications (Change Requests)
Each development milestone includes two (2) complimentary rounds of minor revisions to refine visual presentation, UI spacing, or text copy within the agreed scope. Requests for new architectural features, additional workflow integrations, or structural database redesigns outside the initial SOW will be scoped separately via a written Change Request (CR) at our standard hourly or fixed-milestone engineering rates.
10. Intellectual Property Rights
100% Transfer of Custom Codebase: Upon full and final settlement of all invoiced milestone amounts, all custom software code, database architecture, bespoke UI/UX designs, and deliverables created specifically for the project transfer completely to the Client.
The Company retains no proprietary claim or backend kill-switches over your custom software or client operational data, guaranteeing absolute digital sovereignty without vendor lock-in. Unless prohibited by a bilateral NDA, the Company reserves the standard right to display non-sensitive visual screenshots in our professional portfolio.
11. Software Licensing and Open-Source Components
Our applications may incorporate industry-standard open-source libraries, frameworks, and packages (e.g. React, WordPress, Flutter, Node.js, Python libraries) distributed under standard open-source licenses such as MIT, Apache 2.0, or GNU GPL. Such third-party libraries remain subject to their respective copyright licenses.
12. Third-Party Tools and Integrations
When projects involve third-party integrations (such as Stripe, Razorpay, Twilio, OpenAI, Google Maps, AWS, or courier tracking webhooks), the Client is responsible for maintaining their own direct commercial accounts with those respective vendors. The Company is not responsible for policy changes, price hikes, service outages, or API deprecations enacted by external third-party service providers.
13. Website Hosting and Maintenance
Unless explicitly bundled into a monthly managed SLA maintenance agreement, continuous server hosting, DNS management, and SSL renewal are the responsibility of the Client. All custom web and software applications include our complimentary 30-day post-launch warranty to correct any functional defects directly originating from our code. Extended 24/7 server monitoring and feature maintenance are available through separate SLA retainer contracts.
14. Confidentiality & Non-Disclosure (NDA)
Both parties agree to treat all business operational plans, technical documentation, client customer databases, and proprietary algorithms disclosed during the engagement as strictly confidential. Neither party shall disclose such proprietary information to any external third party without prior written authorization. This confidentiality obligation survives termination of the project contract for a period of three (3) years.
15. Cancellation and Refunds
A Client may cancel a custom engineering contract by providing written notice. Upon receipt of cancellation notice, the Client shall be liable for payment for all developer hours logged and milestones verified up to the date of cancellation. Mobilization deposits and payments for completed and approved sprint milestones are non-refundable due to the specialized human engineering effort expended.
16. Limitation of Liability
To the maximum extent permissible under applicable law, in no event shall HVK Developer's, its directors, or developers be liable for indirect, incidental, punitive, or consequential damages (including loss of business revenue, commercial interruption, or loss of data) arising out of the deployment or operation of developed software. The total aggregate liability of the Company under any claim shall be capped at the total amount actually paid by the Client under the specific Statement of Work giving rise to liability.
17. Termination of Services
Either party may terminate an active project engagement with immediate effect upon written notice if the other party:
- Materially breaches any provision of these Terms or the SOW and fails to cure such breach within fourteen (14) calendar days of receiving written notice.
- Becomes insolvent, files for bankruptcy, or enters receivership.
18. Dispute Resolution and Governing Law
These Terms and any dispute or claim arising out of or in connection with our services shall be governed by, and construed in accordance with, the laws of India.
In the event of any commercial disagreement or dispute, both parties agree to first engage in good-faith executive negotiations for thirty (30) days. Should formal litigation arise, the parties agree to submit to the exclusive jurisdiction of the competent civil courts situated in Surat, Gujarat, India.
19. Changes to Terms
We reserve the right to modify these Terms and Conditions periodically. Updated versions will be published on this page with an amended "Last Updated" timestamp. Active project contracts signed prior to revisions shall continue under the specific terms agreed upon at contract signing unless amended by bilateral written agreement.
